Terms of Service

These Terms of Service ("Terms") govern your access to and use of Prism (the "Service"), operated by [Legal Entity Name] ("we", "us", or "our"). By creating an account, loading a balance, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is

Prism is a prepaid gateway that lets you generate media — including video, images, and voice — using third-party AI models. We route your generation requests to upstream model providers through our infrastructure partner (kie.ai) and charge your prepaid balance for each generation. We are a reseller of that upstream capacity; we do not own, train, or control the underlying models.

2. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for the activity under your account and for keeping your credentials and API keys secure. Notify us promptly at support@your-domain.com if you suspect unauthorized use.
• You must provide accurate information and may not impersonate others or create accounts to evade suspension.

3. Prepaid balance and pricing

• The Service is prepaid and pay-as-you-go. You load a balance and each generation deducts the price shown at the time of the request. There are no subscriptions.
• Prices are displayed before you generate and may change over time as upstream costs change. The price applied is the one shown when your request is submitted.
• Prepaid balance is a credit toward the Service only. It is not a deposit, bears no interest, and is not transferable or redeemable for cash except as required by law or as described in our Refund Policy.
• Payments are processed by our third-party payment processor (Stripe). Your use of payment features is also subject to their terms.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy. We may filter, refuse, or remove requests and outputs that violate that policy, applicable law, or the terms of our upstream providers.

5. Your content and generated output

• You are responsible for the prompts and any inputs you submit, and for your use of the outputs you generate.
• As between you and us, and to the extent permitted by the applicable upstream model provider's terms, you own the outputs you generate. AI-generated content may not be eligible for certain intellectual property protections and may be similar to content generated for others.
• You grant us the limited right to process your prompts and inputs solely to operate the Service (for example, transmitting them to the upstream provider to fulfill your request).

6. Third-party providers

The Service depends on third parties, including kie.ai and the model providers behind it. Their availability, output quality, and content rules are outside our control. We are not liable for outages, changes, or decisions made by those providers, though we will make reasonable efforts to keep the Service running and to refund failed generations as described in our Refund Policy.

7. Service availability

The Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation and may modify, suspend, or discontinue features at any time. We may perform maintenance that temporarily limits access.

8. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that outputs will be accurate, appropriate for your use, or free of third-party rights.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 30 DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) YOUR THEN-CURRENT PREPAID BALANCE.

10. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your prompts, your outputs, your use of the Service, or your violation of these Terms or applicable law.

11. Suspension and termination

We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, if required to protect the Service or upstream providers, or if required by law. You may stop using the Service at any time. Sections that by their nature should survive termination (including payment, disclaimers, liability limits, and indemnity) will survive.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use after changes take effect constitutes acceptance.

13. Governing law
